License Agreement
READ BEFORE INSTALLING. By downloading, installing, copying, or otherwise using Voodflow, you agree to be bound by the terms of this License Agreement. If you do not agree to these terms, do not install or use the software and contact sales@voodflow.com before your purchase completes.
Open code, not open source. Voodflow is delivered as full, unobfuscated source code for transparency and auditability. This does not make it open source. Distribution, republication, and sublicensing are strictly prohibited. See §4 for the complete Open Code Policy.
1 Definitions
- "Software" means the Voodflow FilamentPHP plugin, including all PHP classes, React components, configuration files, assets, and documentation delivered under this Agreement.
- "Source Code" means the human-readable PHP, JavaScript/JSX, and related files that comprise the Software.
- "Installation" means a single, independently configured deployment of the Software on a server or hosting environment.
- "Licensed Installation" means any Installation authorised under the tier you have purchased.
- "Derivative Work" means any work that is based on or incorporates any portion of the Source Code, including modifications, enhancements, translations, and adaptations.
- "End User" means a natural person who uses an application in which the Software is embedded, without having direct access to the Software's administrative interface or Source Code.
- "Website" means the Voodflow marketing and documentation site operated by BASE33 S.r.l.s at voodflow.com (including pricing pages).
2 License Grant
Subject to your compliance with this Agreement and timely payment of the applicable license fee, BASE33 S.r.l.s grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely on the number of Licensed Installations corresponding to the tier you have purchased:

SaaS tier — scope. The SaaS tier covers use within one Licensed Installation that powers a subscription or multi-customer product you host and operate (a “distributed” SaaS). Workflow design, visibility, and execution control stay with you and the staff you designate (for example via Filament); End Users must not access the workflow editor, flow definitions, or Source Code. Built-in, first-class multi-tenant isolation for every part of the Software is not assumed: you remain responsible for tenant boundaries, data separation, and access control in your own application until and unless BASE33 publishes fuller in-product multi-tenant support on the Website.
The license is granted for the duration of the license period purchased (typically twelve months). After expiry the Software continues to function on your server, but you are no longer entitled to receive updates, new core nodes, or support until renewal.
Support. For standard Single, Agency, and SaaS tiers, technical assistance is provided on a community basis through the public Voodflow GitHub repository (issues and discussions). BASE33 S.r.l.s does not commit to response times. Email or priority support is not included except as expressly agreed in a Custom / OEM or other written agreement.
2.1 License fees; early-access renewal terms
In short: amounts shown on the Website are current at publication and may change over time for ordinary adjustments (for example inflation, taxes, or how the product is packaged). Renewals remain at 30% below the then-current public list price for your tier when each renewal falls due—so the base figure can move, but the discount off list stays the same. The bullets below set out the binding terms.
Unless otherwise stated in a separate written agreement signed by both parties, license fees are as published on voodflow.com or as itemised on your order confirmation or invoice.
Early Access purchases. If you purchase during a public Early Access period designated on the Website, the following applies to the Software tier you selected:
- Initial term. You pay the early-adopter annual price for your tier as stated at checkout or on your order confirmation.
- Renewals (early adopter benefit). Each subsequent annual renewal is charged at seventy percent (70%) of the then-current public list price for your tier — i.e. a thirty percent (30%) discount off the list price in effect when that renewal is due (exclusive of VAT and similar taxes), as published on the Website and invoiced according to BASE33 S.r.l.s's ordinary billing practice. If the public list price increases or decreases, the renewal fee changes accordingly while preserving the thirty percent (30%) discount.
Separate products. Optional offerings (including but not limited to marketplace modules, third-party node packs, or other add-ons) may be offered and renewed on separate terms published on the Website when those products are available. Specific marketplace economics are not fixed at the date of this Agreement. Unless expressly included in your tier description on the Website or in a written agreement, such fees are not part of the Software tier renewal.
List price and campaigns. BASE33 S.r.l.s may change public list prices, Early Access first-year offers, and tier inclusions at any time, including for routine commercial adjustments. Purchasers after Early Access ends may be subject to different first-year and renewal terms as published at the time of purchase. The renewal discount described above applies to licensees who purchased during the Early Access period, for as long as they continue to renew in accordance with this Agreement.
You may transfer a license to a different server within the same Installation count limit. You may not transfer or assign this Agreement to a third party without prior written consent from BASE33 S.r.l.s.
3 Permitted Uses
Within the scope of your Licensed Installations, you may:
- Install, configure, and operate the Software for your own internal business purposes;
- Read, audit, and study the Source Code;
- Modify the Source Code to customise or extend the Software for use within your own Licensed Installation(s);
- Create Derivative Works for private, internal use, provided such works remain subject to all restrictions in this Agreement;
- Under the SaaS tier: deploy the Software within your single Licensed Installation to support a distributed SaaS or similar hosted product where you (the operator) design and run workflows on behalf of your customers or End Users; End Users must not access the workflow editor, flow definitions, or Source Code; tenant isolation and per-customer boundaries are implemented in your application as required by your use case;
- Create and package custom nodes for distribution to other Voodflow licensees, provided those nodes contain no portion of the Voodflow core Source Code.
4 Open Code Policy
Voodflow is open code — meaning your license includes the complete, unobfuscated Source Code. This is a deliberate transparency choice so that you can audit the software, understand its behaviour, and adapt it to your environment with confidence.
Open code is not open source. Receiving the Source Code does not grant you any right to redistribute it. Specifically, open code means:
- ✓ You receive the real, readable source — no obfuscation, no encrypted packages, no black boxes;
- ✓ You can read every line, audit it for security, and modify it for your own Licensed Installation(s);
- ✗ You may not publish, share, or make available any portion of the Source Code or Derivative Works to any third party, whether commercially or for free;
- ✗ You may not host the Source Code or Derivative Works in a public or private repository accessible to persons outside your organisation;
- ✗ You may not use the Source Code as the basis for a competing product or service;
- ✗ You may not sublicense, resell, or transfer the Source Code or any Derivative Work;
- ✗ Derivative Works created under §3 remain subject to all restrictions of this Agreement and may not be distributed.
5 Intellectual Property
The Software, including all Source Code, documentation, branding, and associated materials, is and shall remain the exclusive intellectual property of BASE33 S.r.l.s. This Agreement does not transfer any ownership interest in the Software to you.
Any Derivative Work you create under §3 remains subject to this Agreement. BASE33 S.r.l.s makes no claim to ownership of your Derivative Works; however, you grant BASE33 S.r.l.s a perpetual, royalty-free licence to incorporate into the Software any improvements or bug fixes you contribute back, should you choose to do so voluntarily.
All trademarks, service marks, and logos associated with Voodflow are the property of BASE33 S.r.l.s. You may not use them without prior written permission.
6 Prohibited Uses
In addition to the restrictions set out in §4, you may not:
- Use the Software on more Installations than your tier permits;
- Remove, alter, or obscure any copyright, trademark, or licence notices contained within the Software;
- Use the Software or its Source Code to create a product that competes with Voodflow;
- Circumvent or attempt to circumvent any licence enforcement mechanism;
- Allow third parties to access, use, or benefit from the Software in a manner not expressly permitted by this Agreement;
- Use the Software in any context that violates applicable law, including export control regulations.
Violation of any restriction in this Agreement results in automatic termination of your licence (see §11) and may give rise to legal action including claims for damages.
7 No Warranty — "As Is"
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BASE33 S.R.L.S DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- merchantability and fitness for a particular purpose;
- non-infringement of third-party rights;
- uninterrupted or error-free operation;
- compatibility with any specific version of FilamentPHP, Laravel, PHP, or any other dependency;
- security against all vulnerabilities.
You assume sole responsibility for determining whether the Software is appropriate for your use case and for verifying that it operates correctly in your environment before deploying it to production.
8 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASE33 S.R.L.S, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY:
- loss of data, database corruption, or inability to recover data;
- loss of revenue, profits, or business opportunities;
- business interruption of any kind or duration;
- security breaches, unauthorised access, or exposure of data;
- indirect, incidental, special, consequential, punitive, or exemplary damages;
- claims by your customers, employees, or third parties arising from your use of the Software.
IN ALL CASES, BASE33 S.R.L.S'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL LICENSE FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; in such jurisdictions, the above limitations apply to the fullest extent permitted by law.
9 Data, Security, and Backup
All data processed by the Software — including workflow definitions, execution logs, node configuration, and credentials — is stored exclusively in your own database and on your own infrastructure. BASE33 S.r.l.s has no access to this data.
You are solely and entirely responsible for:
- Maintaining regular, tested backups of your database and file system;
- Securing your server, operating system, database, and application against unauthorised access;
- Generating, securing, and backing up your Laravel
APP_KEY, which is used to encrypt sensitive node configuration values at rest; - Enforcing HTTPS/TLS for all connections to your application panel;
- Complying with any data protection, privacy, or security obligations imposed on you by law or contract in connection with your use of the Software;
- Enabling encryption at rest at the operating system or database level, if required by your compliance obligations.
BASE33 S.r.l.s provides an application-layer encryption mechanism within the Software. This mechanism does not constitute a guarantee of security and does not eliminate your own security obligations. BASE33 S.r.l.s accepts no liability for any data loss, corruption, exposure, or breach arising from your server environment, misconfiguration, or failure to follow reasonable security practices.
10 All Sales Final — No Refunds
ALL PURCHASES OF VOODFLOW LICENSES ARE FINAL AND NON-REFUNDABLE.
Because the Software is delivered as Source Code that is immediately accessible and usable upon purchase, it is not possible to "return" the product in any commercially meaningful sense: the code is transferred to you at the moment of delivery and remains in your possession regardless of any subsequent refund request. Issuing a refund would not and cannot undo access to the Source Code.
BASE33 S.r.l.s therefore does not offer refunds under any circumstances after delivery of the license, including but not limited to:
- change of mind or business requirements;
- inability to integrate the Software into your application;
- dissatisfaction with features or functionality;
- accidental purchase;
- a decision not to use the Software.

This no-refund policy is a necessary consequence of the open-code delivery model and applies worldwide, except where mandatory consumer protection law in your jurisdiction expressly prohibits such a policy, in which case the minimum statutory right applies and no more.
11 Term and Termination
This Agreement commences on the date of your purchase and remains in effect until terminated.
Termination by you: you may stop using the Software at any time. Termination does not entitle you to a refund (see §10).
Termination by BASE33 S.r.l.s for cause: BASE33 S.r.l.s may terminate this Agreement immediately upon written notice if you materially breach any provision, including any restriction in §4 or §6. Upon termination for cause:
- all rights granted under this Agreement immediately cease;
- you must destroy or delete all copies of the Source Code and Derivative Works in your possession;
- no refund is due.
Survival: §4 (Open Code Policy), §5 (Intellectual Property), §7 (No Warranty), §8 (Limitation of Liability), §9 (Data, Security, and Backup), §10 (No Refunds), §12 (Governing Law), and any other provisions that by their nature should survive, shall survive termination of this Agreement.
After license expiry: if your license period expires without renewal, you retain the right to continue running the version of the Software installed at the time of expiry for internal use. You do not retain the right to install updates, receive new core nodes, or receive support until renewal.
12 Third-Party Dependencies
The Software incorporates third-party open-source components (including but not limited to React, @xyflow/react, and various Laravel/PHP packages) that are distributed under their own respective licences (MIT, Apache 2.0, etc.). These open-source licences apply to those components independently and are not affected by this Agreement.
BASE33 S.r.l.s makes no representations regarding the fitness, security, or continued maintenance of third-party dependencies. You are responsible for reviewing and complying with the licences of all dependencies used in your deployment.
13 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Italy, without regard to its conflict of law provisions and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of Turin (Tribunale di Torino), Italy.
Notwithstanding the foregoing, BASE33 S.r.l.s reserves the right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.
14 Miscellaneous
Severability: if any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement: this Agreement, together with any order confirmation or separate written agreement signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, representations, and agreements.
Amendments: BASE33 S.r.l.s reserves the right to update this Agreement. Material changes will be communicated via email to registered licensees at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance of the updated terms.
No waiver: the failure of BASE33 S.r.l.s to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision at a later time.
Language: this Agreement is drafted in the English language. In the event of any conflict between this English version and any translation, the English version shall prevail.
